Nscale IPO Puts a $103 Billion Contract Book Under Scrutiny

British AI infrastructure company Nscale is preparing to ask public investors to value a business with enormous contracts, fast-growing revenue and equally visible concentration risk. Its initial public offering filing shows more than $103 billion in contracted value, but about 85 percent comes from agreements with just Microsoft and Anthropic.

The proposed New York Stock Exchange listing will test whether investors view those commitments as evidence of durable demand or as dependence on two powerful customers whose plans can change.

Two Customers Dominate the Contract Book

Nscale was separated from Australian cryptocurrency miner Arkon Energy two years ago. Since then, it has signed a $43.8 billion agreement to provide Microsoft with computing capacity through 2033 and a $44.6 billion supply deal with Anthropic.

Anthropic’s agreement carries explicit conditions. It depends on Nscale obtaining financing, and the AI company can leave or cancel if Nscale misses milestones described in the filing as stringent. The headline contract value is therefore not the same as unconditional revenue already secured.

Customer concentration is common across the young AI infrastructure market. A Sona Asset Management paper cited by the Financial Times found that CoreWeave receives 67 percent of revenue from Microsoft. Applied Digital receives 67 percent from Oracle and another 30 percent from CoreWeave.

Sona did not characterize those links as automatically harmful. The risk is that one delay, cancellation or strategic shift can move through several companies at once. Nscale’s filing makes that network unusually visible because two agreements account for most of its order book.

Revenue Growth Arrives With Larger Losses

Nscale reported $140.6 million in revenue for the six months ending June 30, compared with $10.4 million in the same period a year earlier. Its net loss increased from $369 million to $1.02 billion over that comparison.

The company is seeking to raise $3 billion in the offering, according to Bloomberg. The Financial Times reported that Nscale expects a valuation of $35 billion. Those figures are reported targets rather than final IPO terms, and market demand could change the amount raised or valuation achieved.

Earlier in September, Nvidia agreed to provide $1 billion in convertible debt within a larger $3.1 billion financing package. Nscale’s last private round was a $2 billion Series C led by Aker ASA and 8090 Industries, valuing the company at $14.6 billion.

The planned public valuation would therefore represent a sharp increase from that round. Investors will be weighing rapid expansion against losses that grew much faster in absolute terms than the company’s revenue base.

The Listing Tests the Neocloud Model

Nscale operates data centers in Norway, Portugal, Texas and West Virginia. Its competitors include CoreWeave, Nebius, Lambda and Crusoe, which recently raised $3.9 billion at a reported $30.9 billion valuation.

The board includes former Meta executives Sheryl Sandberg and Nick Clegg and former OpenAI executive Fidji Simo. Those names add public-company and technology-policy experience, but they do not reduce the financing conditions inside Nscale’s contracts.

The IPO is a substantive development beyond the company’s earlier preparations for a possible listing. Investors now have figures for revenue, losses, contracted value and customer dependence. The offering will show how much weight public markets place on a large AI infrastructure backlog when delivery requires heavy financing and a small group of buyers holds considerable leverage.

It will also test whether rapid revenue growth can outweigh widening losses during a capital-intensive expansion.

Nscale’s filing captures the central neocloud tension: demand can be measured in tens of billions of dollars before the provider has built all the capacity or earned the associated revenue. The public market must decide what that promise is worth today.
