Meta Links Its Non-Voting Share Plan to Founder Leadership

Meta’s new non-voting share plan is also a leadership agreement. WIRED’s October 21 report connects Zuckerberg’s residence commitment to California’s proposed billionaire tax. The underlying documents show why this is more than a story about where one executive lives.

At issue is how a company can finance expansion while preserving a founder’s voting control, and what shareholders receive in return. The AI connection is explicit in Meta’s explanation, but the proposed structure should not be mistaken for money already raised or infrastructure already built.

A share class designed for future financing

Meta’s October 21 announcement describes a non-voting Class C share class, intended to become effective January 19, 2027. It declares a contingent dividend of one Class C share for each existing Class A or Class B share. The stated uses include capital raising, employee compensation and acquisitions. Meta says the dividend itself will not change shareholders’ voting power.

The distinction between creating shares and selling them matters. A dividend distributed proportionately to existing owners is not, by itself, a cash contribution from a new investor. A later issuance would be a different transaction, with its own terms and economic consequences. Assessing that future transaction would require its price, purpose and effect on existing ownership.

Non-voting stock also separates two questions that can otherwise blur together: how much economic ownership an investor holds and how much influence that investor has over corporate decisions. Preserving voting percentages at the initial distribution does not answer whether later financing would be attractive to every shareholder. That would depend on the actual transaction, not simply on the existence of the new class.

The residence promise has qualifications

The company’s information statement, including its agreement summary, says 20% of Zuckerberg’s initial Class C allocation is freely saleable; the other 80% carries restrictions generally linking sales to a reduction in voting power. Quarterly releases of 2.5% of the initial allocation depend on continued full-time leadership, with remaining restrictions released after 32 qualifying quarters.

Separately, the eight-year residence commitment applies while that leadership condition is met. It permits residence in California or another jurisdiction containing the company’s headquarters, and includes an exception for material unforeseen circumstances. The special committee explicitly connects leadership at headquarters with proximity to Meta Superintelligence Labs. These are the company’s stated objectives, not proof that the arrangement improves research performance.

That wording is narrower than an unconditional promise to stay in California under every possible circumstance. It is also important not to collapse the residence provision and the share-release mechanism into one simplified rule. They are separate commitments described in the same arrangement, with qualifications that matter when assessing what has actually been promised.

A ballot proposal remains a proposal

California’s official voter-guide summary describes Proposition 40 as a proposed one-time tax of up to 5% on covered assets above $1 billion. Covered assets include securities and businesses, while real property and certain retirement assets are excluded. The guide identifies November 3 as election day. This is not an enacted tax presented as a settled liability.

The same official summary assigns 90% of the proposed revenue to health care and the remainder to food assistance or education-related programs. Its fiscal estimate anticipates a temporary revenue increase but also a possible ongoing income-tax revenue reduction. Those are official estimates of a proposed measure, not money already collected.

The board’s agreement and the ballot’s outcome therefore need separate scorecards. Shareholders can examine the leadership and control commitments now; voters will decide the tax proposal separately. Neither the company’s case for founder continuity nor the politics of the tax resolves the other question. For Meta’s AI strategy, the immediate development is a documented governance choice about financing flexibility and executive alignment, not a verified return on that choice.
