Anthropic’s $11.6 Billion Akamai Cloud Deal Includes Equity Warrants

Anthropic’s $11.6 Billion Akamai Cloud Deal Includes Equity Warrants

Anthropic has agreed to spend $11.6 billion on Akamai cloud infrastructure over seven years, according to an Akamai announcement reported by TechCrunch. The figure is a multiyear commitment, not revenue Akamai has already earned. The agreement also has delivery and availability conditions and can be ended by either party in specified circumstances, the report says, making its ultimate value dependent on execution.

The structure is notable beyond its headline price. Akamai expects to invest heavily to deliver the capacity, while Anthropic has received a warrant that could give it an ownership stake in its supplier if spending milestones are met. The arrangement brings together a large AI customer’s demand for compute, a provider’s need to build it and an equity incentive tied to the customer’s future purchases.

CPUs move into the AI infrastructure story

The contract centers on Akamai’s cloud infrastructure, and TechCrunch emphasizes general-purpose CPUs rather than the GPUs that dominate many discussions of AI systems. CPUs handle tasks such as running code and browsing the web. As agents take on more of that work, demand for those processors has grown, according to the report. Akamai did not say exactly what Anthropic will do with the capacity, so the specific workloads remain an open question.

That distinction prevents a tempting overstatement. The size of the contract does not prove that Anthropic has switched away from GPUs or that all of the capacity will serve one kind of agent task. It does show that a major AI company is making a substantial commitment to a cloud supplier in a part of computing that is less prominent in public AI investment headlines.

The new agreement is also much larger than a $1.8 billion arrangement between the companies that Bloomberg reported in May, as recounted by TechCrunch. Akamai describes this as its largest contract. Those comparisons establish the scale of the commitment, but they do not erase the service requirements or early-termination provisions in the current deal.

Spending and revenue arrive on different schedules

Akamai expects no revenue from the agreement this year. Its executives projected $150 million to $300 million in 2027, beginning in the second half, and an annual revenue pace of roughly $1.7 billion by the end of 2028. These are company expectations reported from an investor call, not receipts already booked or guaranteed by the seven-year headline amount.

On the cost side, Akamai expects to spend about $5.5 billion to build the required capacity. It is adding around $1.7 billion to capital spending this year to purchase components such as memory ahead of delivery. The company is therefore committing substantial money before the revenue forecast reaches its projected later pace. TechCrunch does not provide enough detail to calculate a final return on that outlay or to establish the precise margin the contract will generate.

Delivery and availability requirements make that timing more than an accounting detail. If the supplier must build capacity before the customer uses it, both parties depend on the infrastructure being ready and meeting service conditions. The report does not provide a facility-by-facility rollout or disclose the conditions under which either company may terminate the contract.

A warrant links ownership to cloud purchases

As part of the agreement, Akamai issued Anthropic a warrant for nonvoting preferred stock convertible into as many as 7.7 million common shares, about 5% of Akamai’s outstanding stock, at $111.33 per share. TechCrunch says roughly 2% is expected to vest when Anthropic makes its first payment. Further pieces depend on additional spending, with approximately one percentage point unlocked for each extra $3 billion of cloud purchases.

The report says the arrangement could add as much as $9 billion to the deal, taking its potential total toward $20 billion. That is a possible expansion, not a guaranteed extension of the original $11.6 billion commitment. The warrant likewise represents rights conditional on milestones, not an immediate five-percent holding.

TechCrunch describes this as Akamai’s first warrant attached to a cloud deal and notes that it reverses a familiar pattern in which suppliers invest in AI customers. Here the customer could acquire a stake in the supplier. For now, the firm facts are the announced agreement, its disclosed conditions and Akamai’s spending plans; the later revenue, expanded purchases and eventual equity position remain dependent on what the companies deliver and buy.
