Cognition Denies SpaceX Takeover Talks as AI Coding Consolidates

Cognition chief executive Scott Wu has denied a report that SpaceX attempted to acquire his AI coding company. The conflicting accounts leave the central claim unresolved: Bloomberg reported an approach based on unnamed sources, while Wu said Cognition was not for sale and that the companies had not held talks.

TechCrunch reports that neither company answered its requests for comment. Bloomberg also said acquisition discussions were no longer active but that a commercial partnership remained under consideration. Wu’s public denial did not address that narrower possibility.

A reported approach meets a direct denial

The story demands careful separation between reported claims and confirmed facts. Bloomberg’s account said SpaceX sought Cognition as part of its effort to compete with OpenAI, Anthropic and Google. Wu responded on X that the report was inaccurate, explicitly rejecting both a sale and past negotiations.

Without named participants, documents or statements from SpaceX, the source cannot determine which version is correct. The denial is authoritative evidence of Cognition’s stated position, but it does not independently disprove every contact or partnership discussion described by anonymous sources.

The context makes the report plausible without making it verified. SpaceX completed a $60 billion acquisition of Cursor, another AI coding company, last week. It had already absorbed xAI earlier this year and has presented investors with ambitions that include space-based data centers.

Elon Musk reportedly told SpaceX employees that AI could account for 99% of the company’s value within four or five years. That is a projection from the company’s leader, not a measured forecast. Turning it into reality would require substantially more AI revenue.

Coding tools offer a route into enterprise AI

AI-assisted software development has become one of the technology’s clearest commercial applications. Cursor gives SpaceX a developer platform, while Cognition’s Devin agent would add a different product and enterprise customers including Mercedes-Benz, Citi and Goldman Sachs.

Cursor and SpaceX were collaborating before their transaction closed and have since released Grok 4.6, which they say performs strongly on coding and multi-step agentic benchmarks. Adding Cognition could deepen that strategy, but the reported strategic fit should not be confused with evidence that a deal occurred.

Cognition is also large enough to remain independent. It raised $1 billion in May at a $25 billion post-money valuation. Bloomberg says the company is now in early discussions for another funding round at a $40 billion valuation. Both the prospective financing and valuation remain reported negotiations, not completed terms.

The company previously acquired the remaining assets of Windsurf after Google DeepMind hired its chief executive and other talent through a $2.4 billion licensing and employment arrangement. Cognition then laid off 30 employees and offered buyouts to roughly 200 remaining Windsurf workers, according to TechCrunch.

Consolidation raises the value of independence

Major AI companies are competing for coding products, skilled teams and enterprise relationships. As independent startups are acquired or partially absorbed, Cognition becomes more strategically scarce. That scarcity can strengthen its fundraising position even if it has no intention of selling.

A computing partnership with SpaceX would also make commercial sense without an acquisition. Bloomberg reported that Cognition might use SpaceX capacity currently sold to other AI companies until the infrastructure is needed internally. TechCrunch notes that Wu did not comment on this specific claim.

For now, the only safe conclusion is that an acquisition was reported and publicly denied. The episode still reveals how quickly the AI coding market is concentrating around companies with capital, models and compute. Whether Cognition joins that consolidation or uses the attention to finance its independence remains open.

Readers should resist turning strategic logic into confirmation. A strong rationale for a deal can explain market interest; it cannot establish that negotiations happened.
